At Plana Ventura Garcés we are passionate about acquisitions and sales of family businesses, we are aware of what it means for the owner of the company to take this step and we advise them on all aspects of M&A operations, from preparing the company for sale with a Vendor Due Diligence, to assessing and finding potential buyers, as well as executing all and any documents necessary for the successful completion of the transaction, from the Letter of Intent (LOI) to the Sale and Purchase Agreement (SPA) with the most complex Representations and Warranties (R&W) that may be required and even including specific insurance policies as appropriate.
Structural modifications
Plana Ventura Garcés also offers advice on the analysis of strategic options, evaluation of the value of a spin-off or the conditions of a merger, structuring of the transaction from a tax point of view and finding the valid economic reasons for the transaction.
In short, we manage the transaction process and negotiate the most appropriate conditions to close the transaction in the most satisfactory way for our clients. We find many family businesses that need to be restructured due to the impossibility of coexistence of the following generations, and we provide solutions to possible future conflicts.
Due Diligence
We want to highlight the Due Diligence (DD) process and the importance it has for the entrepreneur and the operation to be carried out, as we often find that the vision that the owner has of his company may vary from that of the potential/buyers, and therefore, before a purchase/sale or restructuring, we at Plana Ventura Garcés always recommend analyzing the best option, and to do so, we adapt the Due Diligence process to each transaction.
